1. Supply framework

Cross-border sales from Jiaxing East Bay Lighting are governed by the signed sales contract, the pro-forma invoice, Incoterms® 2020 and the applicable provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG). This disclaimer sets out our standing position on issues buyers regularly raise; it does not override anything written into a specific contract.

2. Incoterms and risk transfer

Our default quotation is FOB Ningbo or FOB Shanghai. CIF, DAP and DDP quotations are available on request. Regardless of Incoterm, risk of loss or damage passes to the buyer at the named handover point agreed in the sales contract. Marine, air-freight and land-transit insurance are the buyer's responsibility unless expressly quoted into the price.

3. Certification scope

Certificates published on our website — CE, RoHS, REACH, ERP, IEC 62560, EMC and ISO 9001 — cover the specific product families, batches and destination markets stated on each certificate. A certificate valid for one SKU or one market is not automatically valid for another. Buyers are responsible for confirming that the certification set supplied with any given order is valid for their import market before customs clearance.

4. Import compliance

Local import duty, VAT/GST, customs clearance fees, energy-label registration (EU EPREL, UK ERP), producer-responsibility fees (WEEE, packaging) and product-registration obligations in the destination country are the buyer's responsibility. We provide the technical documentation required to support those registrations, but we do not act as importer of record and we do not file registrations on the buyer's behalf unless expressly contracted.

5. Sanctions and end-use

We do not knowingly supply to parties or destinations subject to UN Security Council, EU, UK or US sanctions, or for end-uses prohibited under Chinese export-control law. Buyers warrant that the goods will not be diverted to sanctioned parties or to end-uses that would breach applicable export-control regulations.

6. Lead time and force majeure

Standard lead time for mass production is 25–35 working days after receipt of deposit and approval of pre-production samples. Lead times, ETD and ETA dates are best-effort estimates. We are not liable for delays caused by port congestion, container shortages, strikes, typhoons, epidemics, government-imposed restrictions or other events beyond our reasonable control.

7. Claims procedure

Quantity and visible-damage claims must be raised within 14 days of arrival at destination port. Latent quality claims must be raised within the warranty period stated in our Product Use Disclaimer. Every claim must be supported by the batch code, purchase order number, photographs and — where relevant — a third-party inspection report. Goods must be preserved until the claim is settled.

8. Governing law and dispute resolution

Unless otherwise agreed in writing, disputes are governed by the laws of the People's Republic of China (excluding conflict-of-law rules) and finally settled by arbitration at the Shanghai International Arbitration Center (SHIAC) under its rules in force at the time of application. The seat is Shanghai; the language is English. This clause does not prevent either party from seeking interim relief before a competent court.
